Radio Latte Terms of Service

These Terms govern your use of Radio Latte, which is provided as two products:
- Venue Service — the radiolatte.com website, the venue streaming player, and the venue subscription. Used by commercial venues such as cafés, restaurants, bars, hotel lobbies and small retailers.
- Mobile App — the Radio Latte iOS application, used by individual consumers for ads-free radio listening and AI-assisted song creation.
Part A applies to both products. Part B applies only to the Venue Service. Part C applies only to the Mobile App. Where a single clause names only one product, only that product is affected.
Part A — Common Terms
A.1 Contracting Entity
Radio Latte is provided by RBN SPC LTD, company registration number HE403962, VAT number CY10403962Q, with registered office at Makariou 228, 3030 Limassol, Building A, office 714, Limassol, Cyprus (“Radio Latte”, “The Company”, “we”, “us”, or “our”).

A.2 The two products
Radio Latte offers two separate products:
- A Venue Service designed for business customers (Part B).
- A Mobile App designed for individual consumers (Part C).
The Venue Service and the Mobile App are sold and operated independently. A Venue Service subscription does not grant any rights inside the Mobile App. A Mobile App in-app purchase does not grant any rights to the Venue Service.
A.3 Privacy
Our Privacy Policy explains how we collect and use personal data for both products. By using Radio Latte, you acknowledge the Privacy Policy.
A.4 Catalog and Availability
We may add, remove, retire, replace, or change tracks, channels, stations, schedules, formats, features, and availability from time to time.
We aim to provide reliable playback, but the service depends on internet access, browser/device support, hosting providers, payment providers, App Store availability, and other third-party infrastructure. We do not guarantee uninterrupted or error-free service.
A.5 Ownership
Radio Latte, Sicktempo, the curated catalog, the service, the website, the Mobile App, the streaming player, metadata, schedules, playlists, documentation, brand assets, and related technology are owned by us or our licensors.
Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
A.6 AI and Music Provenance
Radio Latte uses internally generated, reviewed, and controlled music sources. We do not knowingly include third-party copyrighted recordings, artist imitation, or uncleared samples in the commercial Radio Latte catalog.
The Creators flow in the Mobile App (see Part C) uses AI to help individual consumers structure their own lyric text and to generate a song from those lyrics. The lyric text you submit is your own; the AI’s role is described in our AI and Catalog Transparency Statement.
Because laws around AI-assisted music can be uncertain and vary by country, the Venue Service is provided under a direct contractual license and controlled streaming model. The license grants venue customers permission to use the Radio Latte catalog as described in Part B, regardless of whether any individual track has separate copyright registration.
A.7 Third-Party Services
The service may rely on providers such as hosting, payment, email, app distribution, AI processing, analytics, and security vendors. Your use may also be subject to third-party terms where those providers interact directly with you (for example, Apple’s App Store and Stripe Checkout terms).
A.8 Disclaimers
The service is provided “as is” and “as available” to the maximum extent permitted by law.
We do not warrant that the service will meet every collecting society, inspection, regulatory, App Store, or venue-specific requirement in every country.
A.9 Liability Limit
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.
To the maximum extent permitted by law, our total liability arising out of or related to the service is limited to the amounts you paid to us (for the Venue Service) or to Apple Inc. for in-app purchases redeemed in the Mobile App (for the Mobile App), in either case in the three months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited.
A.10 Indemnity
You agree to indemnify us against claims, losses, costs, and expenses arising from:
- your breach of these Terms;
- your misuse of the service;
- your provision of inaccurate account or venue information;
- (Mobile App) lyric content you submit that infringes a third party’s rights or violates our Acceptable Use Policy.
A.11 Suspension and Termination
We may suspend or terminate access if:
- payment is overdue (Venue Service);
- you breach these Terms;
- you misuse the license certificate (Venue Service);
- you attempt to bypass streaming or moderation controls;
- you submit content that violates our Acceptable Use Policy (Mobile App);
- we reasonably need to protect the service, catalog, other customers, or legal rights.
On termination, your access ends immediately unless we state otherwise in writing. Mobile App in-app purchase refunds are handled by Apple Inc. in accordance with Apple’s policies; see section C.4.
A.12 Changes
We may update these Terms from time to time. Material changes will be notified through the website, the Mobile App, the dashboard, email, or another reasonable method. If you continue using the service after the effective date of updated Terms, you accept the updated Terms.
A.13 Governing Law and Jurisdiction
These Terms are governed by the laws of Cyprus.
The competent courts of Limassol, Cyprus will have exclusive jurisdiction, except where applicable law requires otherwise. For consumers resident in the European Union, this clause does not deprive you of the protection of any mandatory consumer-protection law of your country of habitual residence.

Part B — Venue Service Terms (B2B)
This Part B applies to customers of the Radio Latte Venue Service: the radiolatte.com website and the venue streaming subscription. It does not apply to use of the Mobile App.
B.1 Business Use
The Venue Service is a business-to-business service for commercial venues. By creating a venue account or purchasing a venue subscription, you confirm that:
- you are acting for a business or professional venue;
- you have authority to bind that business;
- the venue information you provide is accurate;
- you will use the Venue Service only for the named venue covered by your subscription.
The Venue Service is not intended for consumer, household, or personal entertainment use. Individual consumers seeking personal listening should use the Radio Latte Mobile App instead.
B.2 Venue Service Description
The Venue Service provides controlled streaming access to original background music channels for small hospitality and retail venues, such as cafés, brunch venues, restaurants, bars, coffee shops, hotel lobbies, and small boutiques.
The Venue Service is streaming-only. We do not sell or transfer track files. Venue customers receive access to the Radio Latte player and a limited venue playback license while their subscription is active.
B.3 Account and Venue Information
You must provide accurate account, billing, and venue details, including business name, venue trading name, venue address, country, venue type, and operating hours where requested.
Your license certificate is valid only for the named venue and active subscription shown on the certificate. A separate subscription is required for each physical venue location unless we agree otherwise in writing.
B.4 Subscription, Billing, and Taxes
Venue subscriptions renew automatically unless cancelled before the next renewal date.
Prices are shown excluding VAT or other applicable taxes unless stated otherwise. Taxes are calculated at checkout based on your billing information and applicable law.
Payments are processed by Stripe or another payment provider we select. We do not store full payment card details.
You may cancel future renewals through the billing portal or by contacting support. Cancellation stops future renewal charges but does not automatically refund prior charges unless required by law or expressly stated by us.
If payment fails or a subscription becomes past due, we may suspend access and the venue license until the account is brought current.
B.5 Music License (Venue)
Your active subscription includes a limited, non-exclusive, non-transferable, revocable license to publicly perform the Radio Latte catalog as streamed through the Radio Latte service inside the named venue during the active subscription period.
This license covers only:
- the Radio Latte catalog;
- playback through the Radio Latte service;
- background music use inside the named venue;
- the subscription period shown in your account or license certificate.
This license does not cover:
- music from Spotify, Apple Music, YouTube, broadcast radio, television, DJs, live performers, karaoke, customer-supplied files, staff playlists, or any third-party source;
- playback outside the named venue;
- additional branches, franchise locations, pop-ups, events, or mobile venues unless listed in the license;
- recording, copying, downloading, extracting, redistributing, rebroadcasting, reselling, remixing, synchronizing, sampling, or making derivative works from the music;
- use in advertisements, videos, social media, podcasts, livestreams, telephone hold music, apps, games, or other media;
- use after subscription cancellation, expiry, suspension, or non-payment.
The detailed Music License Agreement forms part of these Terms.
B.6 PRO and Collecting Society Scope
Radio Latte is designed so that playback of the Radio Latte catalog through the Venue Service is licensed directly by us for the named venue, subject to these Terms.
The rule is simple: if you play music from Radio Latte, at the venue named on your active license, you are covered by your Radio Latte venue license for that Radio Latte catalog playback.
We do not promise that your business never needs a license from a performing rights organization, collecting society, or similar body. If you play music or audio outside the Radio Latte service, including commercial songs or third-party music sources, or if you use Radio Latte outside the license scope, you may need separate permissions or licenses.
You are responsible for your own non-Radio Latte music use.
B.7 Venue Customer Responsibilities
You must not:
- share login credentials or stream tokens outside your business;
- use one subscription for multiple venues;
- try to access, copy, scrape, download, record, extract, or bypass the streaming controls;
- remove, alter, or misuse license certificates;
- represent that Radio Latte covers music not supplied by Radio Latte;
- use the service unlawfully or in a way that infringes third-party rights;
- interfere with security, access controls, usage limits, or service infrastructure.
Part C — Mobile App Terms (B2C)
This Part C applies to use of the Radio Latte Mobile App on iOS. It does not apply to the Venue Service.
C.1 Mobile App Description
The Mobile App offers two surfaces to individual consumers:
- RadioLatte Live! — free, ads-free radio listening across mood-based stations curated by Radio Latte.
- Creators — AI-assisted song creation: you write lyrics, the app structures them into verses and chorus with help from on-device or cloud AI, and a song is then generated server-side and added to the RadioLatte Live! catalog.
The Mobile App is free to download and to listen with. Generating songs in the Creators flow uses an in-app star economy described in section C.4.
C.2 No Account Required, Anonymous Identity
The Mobile App does not require you to create an account, sign in with an email address, or provide a real name to listen or to create songs. You can choose or accept an auto-generated username (3–20 lowercase characters, e.g. anonymous-x8k2l). The username is the artist credit shown on songs you create.
Your identity to us is an anonymous device identifier stored in your iCloud Keychain. See the Privacy Policy for details. Because this identifier is intentionally anonymous, recovering your username and stars on a new Apple ID or after losing access to your iCloud Keychain may require us to discontinue the previous record; see section C.10.
C.3 Age
You must be at least 17 years old to use the Mobile App, in line with the App Store age rating. By using the Mobile App you confirm that you meet this minimum age requirement.
C.4 In-App Purchases (Stars)
The Mobile App offers consumable in-app purchases of “stars” which you spend in the Creators flow to generate a song. Star packs are sold exclusively through Apple’s In-App Purchase. Apple Inc. is the merchant of record for these purchases.
- We do NOT accept payment for stars outside Apple’s In-App Purchase.
- Pricing is set per Apple’s App Store pricing tiers and may differ between territories.
- VAT and other taxes are calculated and collected by Apple.
- Stars are consumable: spent on each song generation and not refundable into other goods.
- Stars have no cash value and cannot be exchanged for money or transferred between accounts or devices.
- Stars do not expire while the Mobile App remains available on the App Store.
- Each generation request consumes one star, charged at the first AI action of a draft. We may also award additional free stars (for example, one bonus star per five songs you create); the exact rule is described in the Mobile App.
Refunds. All refund requests for in-app purchases are handled by Apple Inc. in accordance with Apple’s policies. We cannot issue cash refunds for in-app purchases.
If Apple refunds an in-app purchase, we may reverse the corresponding star credit (including any stars already spent if the refund leaves a negative balance).
C.5 User-Generated Content (Lyrics and Songs)
You may submit lyric text and a song title through the Creators flow. This is “User Content”. You retain ownership of your lyric text and your song title.
By submitting User Content you grant The Company (and its subprocessors acting on our behalf) a worldwide, non-exclusive, royalty-free license to:
- process your lyric text and title through AI safety and structuring services;
- generate a corresponding song recording;
- store, host, stream and otherwise distribute the resulting song and the lyric text on RadioLatte Live! and any other streaming services The Company owns;
- credit you as the artist of the resulting song using the username you have chosen or accepted, and append the suffix
(RL)to the song title for brand identification (so any baked song renders as<your title> (RL)across The Company’s streaming services and in the user’s local download).
This license lasts for as long as The Company operates the relevant streaming service and is necessary for the service to function. You can request removal of a specific song by contacting us at legal@radiolatte.com; we honour removal requests in a reasonable timeframe.
C.6 Your Representations About User Content
By submitting User Content you confirm that:
- you wrote the lyric text yourself (or have the rights to submit it);
- your User Content does not infringe any third party’s intellectual property rights, including copyrighted lyrics, song titles, artist names, label names, film or TV music, or other protected works;
- you are not impersonating a real artist;
- your User Content complies with our Acceptable Use Policy (no hate speech, no slurs, no threats, no sexual content involving minors, no doxxing, no real-person harassment, no glorification of violence or self-harm, no promotion of illegal acts);
- you are responsible for the consequences of submitting User Content that breaks any of the above.
C.7 Moderation and Removal
Radio Latte operates an active content-moderation system on User Content. This includes:
- programmatic filtering of profanity, slurs and stricter title-only restricted words before any AI call is made;
- AI-based semantic safety review at the Validate gate, including in-app refusal for hate speech, targeted harassment, sexual content involving minors, and glorification of violence;
- AI refusal at the cloud lyric-structuring step for the same categories;
- bake-side filters in our music-generation backend;
- a community reporting tool inside the Mobile App;
- an automatic re-review trigger when a track receives repeated skips or dislikes.
We may at our discretion:
- refuse to generate a song from User Content;
- remove a song from the catalog;
- prevent a particular user (by anonymous device identifier) from creating further songs;
- suspend a user’s access to the Mobile App.
C.8 Acceptable Use (Mobile App)
You must not use the Mobile App to:
- submit content that violates our Acceptable Use Policy (linked from radiolatte.com/legal);
- attempt to bypass or game the moderation system, the star economy, the rate limits, or the username uniqueness check;
- scrape, automate, or reverse-engineer the service;
- impersonate Radio Latte, an employee of Radio Latte, or any real artist;
- use the service to harass another user or report-spam.
C.9 Termination of Mobile App Access
You may stop using the Mobile App at any time by uninstalling it. Uninstalling the Mobile App does not delete server-side records (your username, reports you have submitted, in-app purchase receipts).
To delete those records, use the in-app “Delete account” action under the Profile menu. This permanently removes your username record, your in-app star balance (free and bought), your thumbs and reports, and your link to any songs you created. See section C.10 for limits on what can be recovered after deletion.
You may also email legal@radiolatte.com to request a server-side deletion.
We may terminate your access to the Mobile App if you breach these Terms, in accordance with section A.11.
C.10 Loss of Access and Identity Recovery
Your Mobile App identity is anchored to an anonymous identifier stored in your Apple ID’s iCloud Keychain (section C.2). Because we have no email, phone number, or other recovery channel attached to that identifier, the following situations result in a new, separate identity:
- You sign in with a different Apple ID.
- You disable iCloud Keychain sync and the identifier is not migrated by Apple.
- You request deletion under section C.9, then later reinstall the Mobile App.
- You lose access to your Apple ID and Apple cannot restore the Keychain entry.
In any of these situations, the previous record (username, stars, songs you created) cannot be reattached to your new identity. We do not retain a recovery key on your behalf, and we cannot transfer the previous record to a new identifier on request, because doing so would let any party with a knowledge of a username take it over.
The username itself may become available again to other users after our retention period if the previous identifier has been inactive and you have not explicitly reserved it through a paid plan that supports cross-device identity (no such plan exists at this time).
C.11 Apple-Specific Acknowledgments
These acknowledgments are required by Apple for apps distributed through the App Store. Where these Terms conflict with Apple’s standard Licensed Application End User License Agreement (“Apple EULA”), the Apple EULA controls only the matters Apple’s EULA expressly governs.
- These Terms are an agreement between you and Radio Latte, not between you and Apple Inc.
- Apple Inc. is not responsible for the Mobile App or for the contents of the Mobile App.
- Apple has no obligation to provide any maintenance or support services for the Mobile App.
- In the event of any failure of the Mobile App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Mobile App to you (if any was paid). To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the Mobile App.
- We, not Apple, are responsible for addressing any claims by you or any third party relating to the Mobile App or your use of it, including product liability, consumer protection, or intellectual property claims.
- We, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any third-party intellectual property infringement claim arising from the Mobile App.
- You represent and warrant that (i) you are not located in a country that is subject to a US Government embargo or that has been designated by the US Government as a “terrorist supporting” country, and (ii) you are not listed on any US Government list of prohibited or restricted parties.
- Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms as they relate to your license to use the Mobile App, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you.
