Radio Latte Music License Agreement

Effective date: 2026-05-14

This Music License Agreement is part of the Radio Latte Terms of Service.

1. Parties

Licensor: RBN SPC LTD, company registration number HE403962, VAT number CY10403962Q, trading as or operating Radio Latte.

Customer: the business identified in the Radio Latte account, checkout record, invoice, or license certificate.

2. Licensed Venue

The license applies only to the single physical venue identified in the customer’s account and license certificate.

Required venue details:

  • business legal name;
  • venue trading name;
  • venue address;
  • country;
  • subscription ID;
  • license ID;
  • active license period.

3. Grant of License

While the customer’s subscription is active and paid, Radio Latte grants the customer a limited, non-exclusive, non-transferable, revocable license to publicly perform the Radio Latte catalog as streamed through the Radio Latte service as background music inside the licensed venue.

4. What Is Covered

The license covers:

  • Radio Latte catalog tracks selected and streamed by Radio Latte;
  • in-venue background playback for customers, staff, and visitors physically present at the licensed venue;
  • the active subscription period;
  • one active stream per subscription unless Radio Latte agrees otherwise in writing.

5. What Is Not Covered

The license does not cover:

  • any music not streamed by Radio Latte;
  • any third-party playlist or music service;
  • broadcast radio, TV, DJ sets, live performances, karaoke, YouTube, Spotify, Apple Music, social media audio, staff playlists, or customer-supplied music;
  • venue locations not listed on the certificate;
  • public events outside the venue;
  • online streams, livestreams, podcasts, videos, advertisements, social media, apps, games, or telephone hold music;
  • copying, downloading, extracting, recording, archiving, redistributing, rebroadcasting, reselling, sampling, remixing, editing, synchronizing, or making derivative works;
  • use after cancellation, non-payment, suspension, or expiry.

6. No General PRO Waiver

For the Radio Latte catalog only, the customer receives direct permission from Radio Latte for the covered in-venue playback use.

This license is not a general waiver of performing rights organization, collecting society, publisher, label, artist, or other music-rights obligations for other music uses.

If the customer plays music from Radio Latte, at the venue named on the active license, the customer is covered by this Radio Latte venue license.

If the customer plays music from any other source, including commercial songs, streaming platforms, broadcast radio, TV, DJs, live performers, karaoke, staff playlists, or customer-supplied audio, that music is outside Radio Latte. The customer is responsible for obtaining any required third-party permissions or licenses for those uses.

7. Catalog Control

Radio Latte controls the catalog, channel schedules, playback order, track selection, and stream delivery. The customer does not receive ownership of any track or file.

Radio Latte may add, remove, replace, retire, or modify catalog tracks at any time.

8. License Certificate

Radio Latte may provide a downloadable certificate showing that the named venue has an active Radio Latte catalog playback license.

The certificate is valid only if:

  • the subscription is active and paid;
  • the venue details match the actual venue;
  • the customer is using only the Radio Latte service for the claimed licensed playback;
  • the certificate has not been altered.

9. Verification

The certificate should include a verification URL or QR code so an inspector, landlord, collecting society, or other third party can verify the active license status and scope.

Verification should show only limited license status details and should not expose private billing data.

10. Customer Records

The customer should keep:

  • the current license certificate;
  • subscription invoices or receipts;
  • venue details;
  • proof that Radio Latte is the music source used in the venue.

11. End of License

The license ends immediately when the subscription ends, is cancelled, is suspended, becomes unpaid, or is terminated.

After the license ends, the customer must stop playing Radio Latte music in the venue and stop displaying the certificate as active.

12. Certificate Template

Covered use: in-venue background playback of the Radio Latte catalog only.

Not covered: third-party music, broadcast radio, TV, live music, DJs, karaoke, staff playlists, customer-supplied audio, downloads, copies, online streams, videos, advertisements, or other venues.

Radio Latte covers the Radio Latte catalog at your licensed venue while your subscription is active. Other music sources are outside Radio Latte and may require separate licenses.
